The Board of Directors
The Board’s role is to provide entrepreneurial leadership of Vodafone within a framework of effective controls which enables risks to be assessed and managed. The Board establishes Vodafone’s purpose and values, approves strategy, and satisfies itself that these and our culture are aligned. The Board is accountable for promoting Vodafone’s long-term sustainable success, generating value for shareholders and contributing to wider society.
Executive Committee
The Executive Committee is comprised of Margherita Della Valle, Chief Executive, Luka Mucic, Chief Financial Officer, a number of senior executives responsible for global commercial operations, human resources, technology, external affairs and legal, as well as the Chief Executive Officers of our largest operating companies in Germany, the UK, Italy, Europe Cluster and Vodacom Group.
Each year, the Executive Committee conducts a strategy review to identify key issues facing Vodafone to be presented to the Board. It is responsible for developing our purpose and strategy, and has oversight of the Group’s financial performance, commercial and business performance updates, talent and succession and health and safety matters.
Board committees
The Board has established an Audit and Risk Committee, a Nominations and Governance Committee, Remuneration Committee and an ESG Committee, each of which has formal terms of reference approved by the Board.
